Welcome to VexoCloud! These Terms of Service ("Terms") govern your access to and use of VexoCloud's video editor collaboration platform, including our website, products, and services ("Services"). Please read these Terms carefully before using our Services.

1. Account Registration

You must be at least 18 years old to create an account and use our Services for finding video editing jobs or hiring editors.

Account Creation

To access our collaboration features, you must register for an account. You agree to provide accurate, current, and complete information during registration.

Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. Notify us immediately of any unauthorized use of your account.

Verified Editor Status

Video editors may apply for verified status. We reserve the right to grant or revoke verified badges at our discretion based on portfolio quality, experience, and community standing.

2. Platform Services

Job Postings

Clients may post video editing job opportunities with clear project requirements, timelines, and compensation details.

Editor Profiles

Video editors may create profiles showcasing their skills, portfolio, experience, and availability for work.

Collaboration Tools

We provide communication and project management tools to facilitate collaboration between clients and editors.

No Payment Processing

VexoCloud does not process payments between clients and editors. All financial arrangements and payments are handled directly between users outside our platform.

3. User Content

Content Ownership

You retain ownership of any portfolio content, project files, communications, or content you create, upload, or store on VexoCloud ("User Content").

License to VexoCloud

By using our Services, you grant VexoCloud a worldwide, non-exclusive, royalty-free license to host, store, and display your User Content solely for the purpose of providing the Services to you.

Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content.

Prohibited Content

You agree not to post User Content that:

• Infringes any third party's copyright, trademark, or other intellectual property rights
• Violates any law or regulation
• Contains false or misleading information about skills, experience, or job opportunities
• Is harassing, discriminatory, or threatening
• Contains malware, viruses, or other malicious code
• Attempts to solicit payments through our platform

4. Acceptable Use

You agree not to misuse the VexoCloud Services. For example, you must not:

• Access, tamper with, or use non-public areas of the Services
• Probe, scan, or test the vulnerability of any system or network
• Breach or circumvent any security or authentication measures
• Interfere with or disrupt any user, host, or network
• Send unsolicited communications, promotions, or advertisements
• Use the Services for any illegal purpose
• Impersonate or misrepresent your affiliation with any person or entity
• Post fake job opportunities or fraudulent editor profiles
• Use the platform to process or solicit payments
• Share payment information or financial details through our platform

5. Premium Features

Free Services

VexoCloud offers a free plan with basic features for browsing jobs and creating editor profiles.

Premium Services

For access to advanced features including verified badges, priority listing, and enhanced visibility, paid subscription plans are available starting at $5/month.

Platform Subscription Only

Payments are exclusively for VexoCloud platform subscriptions. We do not facilitate, process, or manage payments between clients and editors for services rendered.

Refund Policy

Subscription fees are non-refundable except as required by law. We may provide refunds at our discretion in exceptional circumstances.

6. Verified Editor Program

Application Process

Editors may apply for verified status by submitting their portfolio and experience details for review.

Verification Criteria

We evaluate applications based on portfolio quality, professional experience, client feedback, and platform activity.

Benefits

Verified editors receive enhanced visibility, priority in search results, and a verified badge on their profile.

Revocation

We reserve the right to revoke verified status for violations of these Terms, poor performance, or fraudulent activity.

7. User Responsibilities

Payment Arrangements

Users are solely responsible for negotiating and arranging payment terms directly with each other. VexoCloud is not involved in financial transactions between users.

Dispute Resolution

Any disputes regarding work quality, payment, or project delivery must be resolved directly between the parties involved. VexoCloud does not mediate or resolve financial disputes.

Due Diligence

Users should conduct their own due diligence when entering into agreements with other users. We recommend using secure payment methods and written contracts.

8. Copyright Policy

VexoCloud respects the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with applicable law.

If you believe your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

• A physical or electronic signature of the copyright owner
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing
• Your contact information
• A statement that you have a good faith belief that use of the material is not authorized
• A statement that the information in the notification is accurate

9. Disclaimers

Our Services are provided "as is" without any warranties, express or implied. VexoCloud does not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The job postings or editor profiles will be accurate or reliable
• The quality of any work delivered will meet your expectations

We are not a party to any agreements between clients and editors. We do not guarantee the quality, timing, or legality of services provided by editors, nor do we guarantee the ability of clients to pay for services. We do not process or facilitate payments between users.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will VexoCloud be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages relating to your access to, use of, or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your content
• Business decisions made based on information in our Services
• Disputes between clients and editors regarding work quality, payment, or project delivery
• Financial losses resulting from transactions arranged through our platform
• Fraudulent activities or non-payment between users

11. Termination

You can stop using our Services at any time by deleting your account.

We may suspend or terminate your access to our Services:

• If you violate these Terms
• If we suspect fraudulent or illegal activity
• For non-payment of subscription fees
• For any other reason with 30 days' notice

Upon termination, your right to use the Services will immediately cease. We may permanently delete your account and all associated data after a 30-day grace period.

12. Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Delaware.
