1. Agreement to Terms
By accessing or using VexoCloud ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.
2. Eligibility
You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 16 years of age.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and you agree to be bound by these Terms on behalf of that organization.
3. Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Account Security: We cannot and will not be liable for any loss or damage arising from your failure to comply with the above security obligations.
4. Subscriptions & Payments
Free Plan
VexoCloud offers a free plan with limited features. The free plan may be used indefinitely, but we reserve the right to modify or discontinue the free plan at any time.
Paid Plans
Paid subscriptions are billed on a recurring basis (monthly or annually). By choosing a paid plan, you agree to pay the subscription fees indicated for that plan.
Billing
Subscription fees will be billed at the beginning of your subscription and each renewal period. All fees are non-refundable except as required by law or as otherwise specifically permitted in these Terms.
Automatic Renewal
Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the renewal date.
Price Changes
We may change our subscription fees at any time. We will provide you with reasonable notice of any fee changes before they apply. Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified amount.
Cancellation
You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. After that period, your account will be downgraded to the free plan or deactivated.
5. User Content
"User Content" means any and all information and content that a user submits to or uses with the Service (e.g., content in your profile, teams, projects, tasks, issues, documents, and messages).
You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness, or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party.
You represent and warrant that your User Content does not violate our Acceptable Use Policy (defined below). You may not represent or imply to others that your User Content is in any way provided, sponsored, or endorsed by VexoCloud.
License to Your Content
You retain all of your ownership rights in your User Content. By posting, uploading, or otherwise making available any User Content, you grant VexoCloud a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.
Content Removal
We reserve the right (but have no obligation) to review, monitor, and remove User Content, at our sole discretion and at any time and for any reason, without notice to you.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property or other rights of any third party
- Upload, transmit, or distribute any computer viruses, worms, or any software intended to damage or alter a computer system or data
- Send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages
- Harass, abuse, or harm another person or group
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with, disrupt, or create an undue burden on servers or networks connected to the Service
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
- Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
- Bypass any measures we may use to prevent or restrict access to the Service
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of VexoCloud and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VexoCloud. Nothing in these Terms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of our trademarks displayed on the Service, without our prior written permission in each instance.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your account settings.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Disclaimers
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
VexoCloud, its subsidiaries, affiliates, and its licensors do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
10. Limitation of Liability
In no event shall VexoCloud, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Maximum Liability: In no event shall our total liability to you for all damages exceed the amount you have paid to VexoCloud in the last twelve (12) months, or one hundred dollars ($100) if you haven't made any payments to VexoCloud.
11. Indemnification
You agree to defend, indemnify, and hold harmless VexoCloud and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Any claim that your User Content caused damage to a third party
This defense and indemnification obligation will survive these Terms and your use of the Service.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
